Terms of Service & Legal Release

These Terms of Service (the "Agreement") govern your access to and use of the Speak Ventures suite of blockchain tools (the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not use the Services.

1. Nature of Services

The Services include blockchain-based software tools that may generate, prepare, and submit transactions for execution on supported blockchains after user signature. These tools may include, but are not limited to:

A multi-sender tool for routing multiple transactions.
A burn tool for destroying SPL tokens.
A wallet cleanup tool for automatically closing accounts and refunding balances.
Other blockchain utilities.

The Services operate without custody of user funds. Speak Ventures never has access to, or control over, private keys or user wallets. All transactions are executed only upon the user's explicit signature and are broadcast to the blockchain network on the user's behalf.

2. Eligibility & Compliance

By using the Services, you represent and warrant that:

You are at least 18 years of age or the age of majority in your jurisdiction.
You have full authority to enter into this Agreement.
Your use of the Services does not violate any applicable law, regulation, or contractual obligation.
You are solely responsible for ensuring that your use of the Services is lawful in your jurisdiction.

Speak Ventures makes no representations that the Services are appropriate or available for use in all jurisdictions.

3. License & Usage Restrictions

Subject to your compliance with this Agreement, Speak Ventures grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose.

You agree that you will not:

Copy, reproduce, distribute, or modify any part of the Services.
Reverse engineer, decompile, or attempt to derive the source code of the Services.
Rent, lease, sell, sublicense, or otherwise exploit the Services for unauthorized commercial purposes.
Use the Services in any unlawful manner or for any fraudulent purpose.

Any unauthorized use of the Services terminates this license automatically.

4. No Financial Advice

The Services are provided for software utility purposes only. Nothing in the Services constitutes financial, investment, tax, or legal advice. You are solely responsible for all decisions related to your use of the Services, including any financial consequences of your transactions.

5. User Responsibility

By using the Services, you acknowledge and agree that:

You are fully responsible for all wallet interactions, signatures, and outcomes.
You understand that blockchain transactions are irreversible once submitted.
You may accidentally burn or lose assets of value.
The Services do not guarantee optimal execution, exchange rates, transaction ordering, or financial results.

6. User Review and Due Diligence

The Services may generate unsigned transactions and present them for your approval. After you review and sign, the Services may submit the signed transactions onchain.

By signing any transaction, you agree that:

You have reviewed the transaction details fully and carefully.
You accept sole responsibility for verifying accuracy and appropriateness of the transaction.
You are satisfied with the outcome and risks of the transaction before signing.
Speak Ventures shall not be liable for any malformed, erroneous, or suboptimal transactions that you approve, nor for any consequences resulting from them.

7. Assumption of Risk

You acknowledge the inherent risks of blockchain and decentralized technologies, including but not limited to:

Permanent loss of tokens or assets.
Fluctuating and volatile asset values.
Smart contract vulnerabilities, hacks, or exploits.
Network outages, congestion, forks, or re-orgs.
Transaction delays, failures, or rejections.
Irreversible and immutable transactions.

You voluntarily assume all such risks. You agree that you alone are responsible for any damages, losses, or outcomes resulting from use of the Services.

8. No Warranties

The Services are provided "as is" and "as available." Speak Ventures makes no warranties, express or implied, including but not limited to:

Merchantability, fitness for a particular purpose, or non-infringement.
Accuracy, reliability, or completeness of any information or results.
Continuous, uninterrupted, or error-free operation of the Services.

9. No Liability

To the fullest extent permitted by law, Speak Ventures, its developers, affiliates, and contributors shall not be liable for:

Any indirect, incidental, special, exemplary, or consequential damages.
Any loss of funds, tokens, or digital assets.
Any misuse, errors, bugs, exploits, or unintended outcomes.
Any business losses, opportunity costs, or reputational harm.

In no event shall Speak Ventures' total liability to you exceed USD $0 or its equivalent, regardless of the form of action.

10. Indemnification

You agree to indemnify, defend, and hold harmless Speak Ventures, its affiliates, developers, and contributors from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:

Your use or misuse of the Services.
Your violation of this Agreement.
Your violation of applicable laws or regulations.
Any transactions you approve, broadcast, or cause through the Services.

11. Refund Policy

No refunds will be issued under any circumstances. All payments for the Services are conducted onchain and are final.

12. Changes to Services, Pricing, and Terms

Speak Ventures reserves the right, at its sole discretion, to:

Modify or update these Terms at any time.
Adjust or change pricing for any Services at any time.
Alter, limit, suspend, or discontinue any features, tools, or functionality of the Services at any time.

We may post updated versions with a revised "Last Updated" date. Your continued use of the Services constitutes acceptance of the modified Terms.

13. Termination Rights

Speak Ventures may, at its sole discretion and without prior notice, suspend, restrict, or terminate your access to all or part of the Services for any reason, including but not limited to breach of this Agreement or misuse of the Services. Speak Ventures shall not be liable for any damages or losses resulting from such termination.

14. Force Majeure

Speak Ventures shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, labor disputes, governmental actions, network outages, denial-of-service attacks, or other unforeseen events.

15. Jurisdiction

Speak Ventures is a purely online software-as-a-service company. We do not claim to operate in any specific jurisdiction. Payments for Services are made exclusively onchain. You are responsible for compliance with any local laws in your place of residence or use.

16. Miscellaneous Provisions

No Waiver: Failure by Speak Ventures to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer this Agreement without prior written consent. Speak Ventures may assign its rights and obligations without restriction.
Relationship of Parties: Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and Speak Ventures.

17. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

This Agreement constitutes the entire agreement between you and Speak Ventures with respect to the Services and supersedes all prior understandings or agreements, whether written or oral.
